Acceptance

BY USING THE SERVICE, INCLUDING VIEWING CONTENT, YOU AS AN INDIVIDUAL AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS CONTRACT ("Service Agreement") between you and TodoExito.com. (whether or not you choose to become a member). Your access to and use of the Service is expressly conditioned on your compliance with these terms and conditions.

Please note that this Service Agreement limits our liability and we do not provide warranties for the Service. This Service Agreement also limits your remedies

Hold Harmless and indemnity

You agree to hold harmless and indemnify IP MicroMedia LLC and TodoExito.com from and against any third party claim arising from or in any way related to your use of the TodoExito.com service, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature. In such a case, TodoExito.com will provide you with written notice of such claim, suit or action.

IP MicroMedia LLC and TodoExito.com's proprietary rights

By submitting, posting or displaying any Materials on or through the TodoExito.com service, you automatically grant to us a worldwide, non-exclusive, sublicenseable, transferable, royalty-free, perpetual, irrevocable right to copy, distribute, create derivative works of, publicly perform and display such Materials. That said, our use of your personal information is governed by our Privacy Policy and we will never rent, sell or share your personal information with any third party for marketing purposes without your express permission.

TodoExito.com and its affiliates and licensors own and retain all rights in the TodoExito.com Web site and service, which contain proprietary and confidential information that is protected by applicable intellectual property and other laws. Except as expressly authorized by TodoExito.com, you may not copy, modify, publish, transmit, distribute, perform, display or sell any of TodoExito.com's proprietary information. 1. Proprietary Rights

IP MicroMedia LLC owns and retains, to the fullest extent of the law, all rights in the Service including but not limited to copyrighted material, trademarks, patented processes, trade secrets, and other proprietary information. You will not distribute, transmit, transfer, offer, copy, publish, display, modify, or sell, assign, or sublicense any portion of the Service, its code, or any proprietary information on the Service, or any intellectual property or other proprietary right in any of the foregoing. You will not reverse engineer, reverse assemble, or otherwise attempt to discover any source code or proprietary information, or obtain unauthorized access to the Service. The foregoing does not apply to user content.

2. Membership Responsibility

By registering as a member, you confirm your acceptance of this agreement and represent and warrant that you are at least 13 years old. Your membership is solely for your individual use and you will not authorize others to use your account, profile, or messages. You are solely responsible for all use of your account including but not limited to content published, messages sent or posted, and interactions with other members, whether or not you have authorized such activities. You agree to maintain the accuracy of your registration information and to keep account information confidential. You must tell us right away about anyone besides you using your account, or any security breach that relates to the Service. You understand and agree that we have no obligation to prescreen, manage, or edit content made available through the service. You agree to bear all risk associated with content you or others provide using your account. Membership in the Service is void where prohibited.

3. Monitoring and Disclosure

We may monitor your communications and may disclose content and information about you, including contents of communications, if we deem it reasonably necessary to: (1) conform to legal requirements or respond to legal process; (2) ensure your compliance with this Service Agreement including maintaining this Service and the Code of Conduct; or (3) protect the rights, property, personal safety or interests of TodoExito, its employees, its customers, or the public.

4. Code of Conduct

You will not use the Service in a way that is against the law or harm TodoExito, our members, partners, affiliates, service providers, partners or suppliers. We may tell you about harmful uses but have no duty to do so. You will comply with the Code of Conduct and other notices we provide. You may review the Code of Conduct at any time at TodoExito.com. Violations of the Code of Conduct may result in the termination of access or deletion of content without notice. We reserve the right to cancel, suspend, or block access to the Service in whole or part at any time.

5 Member Disputes.

You are solely responsible for your interactions with other TodoExito.com Members. TodoExito.com reserves the right, but has no obligation, to monitor disputes between you and other Members.

6. Content Deletion

We have no obligation to maintain or store your content. We have the right to delete any content for any reason or no reason, including but not limited to service cancellation or violation of the Service Agreement or the Code of Conduct. Once deleted, any content you have stored on the service cannot be retrieved.

7. Copyright information

It is our policy to respond to notices of alleged infringement that comply with the Digital Millennium Copyright Act. If you believe that your copyright has been infringed on the TodoExito.com service, please read the following information for filing or responding to a notice of infringement.

To file a notice of copyright notice with us, please send a written communication by fax or regular mail that sets forth the items specified below. If you are not sure whether certain material of yours is protected by copyright, we suggest that you first contact an attorney.

To expedite our ability to process your request, please use the following format:

Provide information reasonably sufficient to permit TodoExito.com to contact you (email address is preferred). 4. Provide information, if possible, sufficient to permit TodoExito.com to notify the user(s) who posted the content that allegedly contains infringing material (email address is preferred). 5. Include the following statement: "I have a good faith belief that use of the copyrighted material described above on the allegedly infringing web pages is not authorized by the copyright owner, its agent, or the law." 6. Include the following statement: "I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorized to act on behalf of the owner of an exclusive right that is allegedly infringed." 7. Sign the paper. 8. Send the written communication to our Copyright Agent, whose name and contact information can be found at the U.S. Copyright Office?s website, http://www.copyright.gov.

U.S. Export Controls. Software from this Website (the "Software") is further subject to United States export controls. No Software may be downloaded from the Website or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other Country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading or using the Software, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.

This Agreement is accepted upon your use of the Website and is further affirmed by you becoming a Member of the Service. This Agreement constitutes the entire agreement between you and TodoExito.com regarding the use of the Website and/or the Service. The failure of TodoExito.com to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Permitted Use of this Site

This Site is owned and operated by IP MicroMedia LLC. All images, audio, video and related informational materials in any medium furnished by IPMM hereunder, including related text, captions, or information (collectively referred to as "Content"), is owned by IPMM or our licensors and is protected by US and international copyright laws, trade dress, moral rights, and other intellectual property rights. Except as explicitly permitted under this Agreement or the applicable IPMMs' Content License Agreement (if any), no portion or element of this Site or its Content may be copied or retransmitted via any means and all related rights shall remain the exclusive property of IPMM.

FOR THE PROTECTION OF IPMM AND ITS IMAGE SOURCES AND OTHER LICENSORS, CONTENT MAY BE VISIBLY, INVISIBLY, OR ELECTRONICALLY WATERMARKED AND MAY INCLUDE THE USE OF DIGITAL RIGHTS MANAGEMENT SYSTEM TECHNOLOGY WITHIN CONTENT. SUCH TECHNOLOGY MAY PERMIT ONLINE CRAWLING OR TRACKING OF CONTENT OBTAINED FROM IPMM AND/OR OTHER METHODS OF PROTECTING, MONITORING, OR TRACKING THE UNAUTHORIZED USE OF THE CONTENT ("RIGHTS MANAGEMENT SYSTEMS (RMS))". If you do not consent to IPMMs' use of RMS, do not use the Site or any Content found therein. You shall not knowingly disable any such technology or tool. You may not remove any copyright or other proprietary notices contained in the Content, caption information, or any other material on this Site. Additionally, unless authorized by IPMM in writing, you may not:
